Terms of Service

1. Agreement
These Terms of Service (the “Terms”) govern your use ofLateral (the “Service”), offered by Vesper Tech, Inc. (“Vesper,” “we,” “us”). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. The service
Lateral is an AI-powered voice roleplay tool for sales and GTM professionals. The Service lets you practice spoken sales conversations against an AI buyer, optionally personalized using your company information and calendar meetings. We may add, change, or discontinue features at any time, with or without notice.
3. Eligibility
The Service is intended for business use. You must sign in with a work email address and be at least 18 years old (or the age of majority in your jurisdiction). You represent that you have authority to use the Service on behalf of yourself or your organization and that your use complies with any policies your employer may have.
4. Your account
You are responsible for keeping your account secure and for all activity under your account. Notify us promptly if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.
5. Acceptable use
You agree not to use the Service to violate any law; harass, threaten, or impersonate others; upload or generate unlawful, deceptive, or harmful content; attempt to probe, scan, or test the vulnerability of the Service; interfere with its operation; or use it in any way that could harm Vesper, other users, or third parties. You are responsible for the content you speak or submit during practice sessions.
6. AI-generated content
The Service uses artificial intelligence to simulate buyers, generate scenarios, and provide feedback. AI outputs are for training and practice purposes only. They may be inaccurate, incomplete, or inappropriate and do not constitute professional, legal, or business advice. You should not rely on AI feedback as a substitute for judgment, coaching, or real-world preparation.
7. Integrations
Optional integrations (such as Google Calendar) require your explicit consent. You can disconnect them at any time. We access only the data needed to provide the connected feature. Vesper is not responsible for third-party services you choose to connect.
8. Your content and license
You retain ownership of content you provide to the Service. By using the Service, you grant Vesper a limited license to use, process, store, and transmit that content as needed to operate and improve the Service, including sharing it with our subprocessors (such as voice and AI providers). This license ends when your content is deleted, subject to reasonable backup and legal retention periods.
9. Intellectual property
The Service, including its software, design, content, and trademarks, is owned by Vesper Tech, Inc. and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose. You may not copy, modify, reverse-engineer, resell, or create derivative works from the Service. If you send us feedback or suggestions, we may use them without restriction or obligation to you.
10. Service provided “as is”
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that AI outputs will meet your expectations.
11. Limitation of liability
To the fullest extent permitted by law, Vesper Tech, Inc. and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service. Our aggregate liability for any claim arising from or related to the Service will not exceed the greater of (a) the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).
12. Indemnification
You agree to indemnify and hold harmless Vesper Tech, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your content, or your violation of these Terms or applicable law.
13. Termination and account deletion
You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice, including for violation of these Terms. Sections that by their nature should survive termination will survive.
You may permanently delete your account at any time from your account settings. Deletion is permanent and irreversible. When you delete your account, we delete the personal data and content associated with it from our systems, as described in our Privacy Policy. Content already shared with our subprocessors (such as voice conversations, transcripts, and audio processed by ElevenLabs) may be retained by them under their own policies, and we may retain limited data where required for legal, security, or backup purposes.
14. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
15. General
These Terms, together with our Privacy Policy, are the entire agreement between you and Vesper regarding the Service. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
16. Changes
We may update these Terms from time to time. The updated version takes effect when posted. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
